Terms of Service

Welcome to Pickmix. These Terms of Service ("Terms") govern your access to and use of the Pickmix platform, including our website, browser extension, web app, AI features, billing, and related services (collectively, the "Service"), operated by Pickmix ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you may only use the Service with the consent of a parent or legal guardian who agrees to be bound by these Terms. We do not knowingly collect data from children under 13, or from children under 14 in Korea without the consent of a legal representative.

2. Account Registration

To access certain features, you must create an account using Google Sign-In or another supported authentication method. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

3. Your Content

You retain the rights you have in the content you submit, save, upload, generate, edit, import, or store through the Service ("Your Content"), including links, webpages, webpage excerpts, notes, files, PDFs, images, annotations, tags, prompts, AI outputs, chats, generated media, and related materials.

By using the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transform, index, transmit, display, reproduce, create previews or derived data from, and otherwise use Your Content as reasonably necessary to operate, provide, maintain, secure, support, personalize, and improve the Service. This includes syncing, search, previews, summaries, AI analysis, agent workflows, image generation, retrieval, abuse prevention, billing support, debugging, and cross-device access.

You represent and warrant that you have all rights, permissions, and legal bases necessary to save, upload, process, generate, or share Your Content through the Service, and that Your Content and your use of it do not violate applicable law, these Terms, or any third-party rights, including intellectual property, privacy, publicity, confidentiality, and contractual rights.

Pickmix is a tool for personal knowledge management, search, organization, and AI-assisted analysis. You are responsible for deciding what content you save or process and for how you use, share, export, publish, or rely on Your Content and any outputs generated through the Service.

4. AI-Generated Output

The Service uses artificial intelligence to process, organize, tag, summarize, search, analyze, transform, generate, and enhance Your Content ("AI Output"). To the extent permitted by applicable law and subject to third-party rights, you may use AI Output generated from Your Content. We do not claim ownership of AI Output merely because it was generated through the Service.

AI Output is provided on an "as is" and "as available" basis. AI-generated content may be inaccurate, incomplete, duplicative, offensive, infringing, unsafe, or misleading. You are solely responsible for reviewing, verifying, and deciding how to use any AI Output. Do not rely on AI Output for medical, legal, financial, safety-critical, or other professional advice.

You are responsible for ensuring that your prompts, inputs, generated images, generated text, and other AI Output comply with applicable law, third-party rights, platform rules, and these Terms. Pickmix may restrict, remove, or refuse to process content or requests that we believe may violate law, third-party rights, provider policies, or our acceptable-use requirements.

5. Data Usage and Model Training

We do not sell your personal information, do not use your private content for advertising profiles, and do not use your private content to train Pickmix foundation models or third-party foundation models. Your Content may be processed by Pickmix and trusted service providers, including AI providers, to provide, maintain, secure, support, personalize, and improve the Service. Our current primary AI provider is OpenAI, and providers may change as the Service evolves. See our Privacy Policy for details.

6. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations;
  • Save, upload, process, generate, share, or distribute content that infringes or violates third-party intellectual property, privacy, publicity, confidentiality, contractual, or other rights;
  • Upload or transmit malware, viruses, or any harmful code;
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems;
  • Reverse engineer, decompile, or disassemble any part of the Service;
  • Use the Service to generate spam, phishing content, impersonation, deceptive content, or misleading materials;
  • Use the Service to create or distribute content that is illegal, abusive, exploitative, or designed to evade safety systems, moderation, or provider policies;
  • Scrape, crawl, or use automated means to access the Service without our written consent;
  • Interfere with or disrupt the integrity or performance of the Service.

7. Subscription and Payments

Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms. If applicable consumer protection law gives you a non-waivable cancellation, withdrawal, refund, or cooling-off right, nothing in these Terms limits that right. For digital content, AI processing, cloud storage, credits, or other services that begin immediately after purchase or are consumed during the billing period, cancellation or refund rights may be limited to the extent permitted by applicable law. We reserve the right to change pricing with 30 days' prior notice. Continued use after a price change constitutes acceptance of the new pricing where permitted by law.

Prices are listed in USD unless otherwise stated. Stripe may present supported local currencies or payment methods at checkout based on your region, payment method, and Stripe availability. Taxes, exchange rates, bank or card issuer fees, and payment method availability may vary by region and are not controlled by Pickmix unless expressly stated.

8. Termination

You may terminate your account at any time by contacting us at [email protected]. We may suspend or terminate your access, remove content, limit features, or refuse to process requests if we believe you have violated these Terms, created risk for Pickmix or others, violated third-party rights, triggered provider or platform policy issues, or if required by law.

Upon termination, your right to use the Service ceases immediately. We may provide a reasonable opportunity to export Your Content where technically feasible and legally permitted. Account deletion and data retention are handled as described in our Privacy Policy; some data may be retained where necessary for legal, security, billing, audit, fraud-prevention, dispute-resolution, backup, or legitimate business purposes.

9. Intellectual Property

The Service, including its design, code, features, branding, and documentation, is owned by Pickmix and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand features without prior written consent.

10. Disclaimers

THE SERVICE, INCLUDING AI FEATURES, AI OUTPUT, SEARCH RESULTS, SUMMARIES, CITATIONS, PREVIEWS, AGENT WORKFLOWS, GENERATED IMAGES, AND THIRD-PARTY INTEGRATIONS, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE, LAWFUL, NON-INFRINGING, OR SUITABLE FOR YOUR PURPOSES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PICKMIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

12. Indemnification

You agree to indemnify and hold harmless Pickmix, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules, conducted in English. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction, and nothing in this section limits any non-waivable rights or remedies you may have under mandatory consumer protection, privacy, or platform laws that apply in your country of residence.

14. Korean Users and Consumers

If you are located in the Republic of Korea, nothing in these Terms limits any rights you cannot waive under applicable Korean consumer protection, electronic commerce, privacy, or unfair-terms laws. To the extent Korean law requires a different notice, consent, cancellation, refund, dispute, or minor-protection rule for Korean users, that mandatory rule will apply only to the extent required by law.

Where a Korean consumer has a statutory right to withdraw from a purchase, cancel a subscription, or request a refund, Pickmix will handle the request according to applicable law and the status of the relevant digital service, content, credits, or benefits already provided or consumed. 15. International Users

If you access the Service from outside the United States, you are responsible for compliance with local laws. For users in the European Economic Area (EEA), United Kingdom, Switzerland, Korea, or any jurisdiction with mandatory consumer protection laws, nothing in these Terms affects non-waivable statutory rights under applicable law. Where these Terms conflict with mandatory local laws, those local laws shall prevail only to the extent required by law.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective date" above. For significant changes, we will provide additional notice (such as email notification). Where applicable law requires separate consent or a different notice method for a material change, we will follow that requirement. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms where permitted by law.
